The Association shall be known as the Cornell University Army Reserve Officers’ Training Corps (ROTC) Alumni Association.
The purpose the Cornell University Army ROTC Alumni Association shall be to unite the ROTC alumni of Cornell University in good fellowship and in cooperative enterprise with Association members as defined in Article III, faculty, officers and trustees of Cornell University; to promote the ROTC Program by actively assisting in the recruitment of quality young men and women to serve as officers in the United States Army, National Guard or Army Reserve; develop and maintain a/an award endowment fund(s) to be awarded to present and future cadets of the Excelsior Battalion; develop and maintain aCornell Army ROTC Battalion endowment fund to support and improve the infrastructure of the Excelsior Battalion including the Wortham Museum, to support in all appropriate ways the aims, goals and objectives of the Army ROTC Program and to foster the overall career support of all Army ROTC alumni by providing them with a solid leadership foundation which can be used to further their careers both in and out of the military and to honor the military service of all veterans by promotion of and participation in recognized national holidays honoring military service.
Section 1. Members: Members shall be persons who have been commissioned through the Cornell Army ROTC Program, contracted cadets, former instructors (officers and non-commissioned officers), and other faculty/staff persons who are present or former military officers.
Section 2. Cadet Members: Upon matriculation all cadets are classified as cadet alumni
Section 3. Honorary Members: Honorary membership shall automatically be extended to the President and Vice Provost of Cornell University, serving University ROTC Relations Committee (URRC) President and those persons who are members of the present Board of Trustees who are not otherwise eligible. In addition, others, who by reason of their assistance, support and advice to the Excelsior Battalion and the Cornell Army ROTC Alumni Association, may be elected to membership by the Alumni Executive Council.
Section 4. Unofficial Members: Any former cadet who did not complete the program who desires to be a member will be admitted in an unofficial, non-voting status.
Section 5. The association has the right to raise funds in ways it deems appropriate as needed. All alumni as defined, shall be considered a member in good standing of the Cornell Army ROTC Alumni Association.
Section 1. Positions: The officers of the Association shall be the president, vice president, and secretary.
Section 2. Terms: The officers of the Association shall be elected to three-year terms.
Section 1. Powers: The Alumni Executive Council of the Cornell University Army ROTC Alumni Association shall be empowered to conduct the affairs of the Association and to act on its behalf in all matters.
Section 2. Membership: Members of the Alumni Executive Council shall consist of the officers of the Association, and three members at large, and shall be selected based on their capacity for leadership of the association. Members at large will be proposed by a nominating committee elected by the members of the Association. The Professor of Military Science and Cadet Battalion Commander shall serve in an advisory role to the Executive Council.
Section 1. Annual Meeting: There shall be an annual board membership meeting of the Association during the Reunion Weekend of each calendar year for the receipt of annual reports and the transaction of other business that may be pending. All committee meetings, and if necessary, the annual board meeting, will be conducted by e-mail.
Section 2. Called Meetings: Additional meetings of the Association may be called by the president or chairperson of any committee. Any member of any committee may request a meeting at any time to the president or chairperson.
Section 3. Quorum: The presence of twenty-five (in person or via e-mail) members at any called meeting constitute a quorum. Questions properly presented at any meeting of the Association at which a quorum is present will be decided by a majority vote of those present.

The Cornell Army ROTC Battalion Administrative Assistant will fulfill the duties of the Army Alumni Association Representative to the University, and will maintain a database of active members, send out mailings (e-mail, regular mail and thank-you's to donors), coordinate Annual, Called and Committee meetings via e-mail, maintain a written record of all Alumni Association correspondence and meeting minutes and have access to the Cornell Alumni Database.
Section 1. General. All award amounts and disbursements from Alumni Association accounts will be approved by the Executive Council. The Cornell Army ROTC Accounts Custodian will be maintain the Alumni Association accounts which are held by Cornell University.
Section 2. The Calvin J. Landau Memorial Award. This cash award is given to the top graduating cadet (MSIV) each spring.
Section 3. The Non-Scholarship Contracting Award. This cash award is given to the top Non-scholarship cadet when he/she contracts at the beginning of their junior year.
Section 4. The Alumni Association Support Account. This account maintains funds to be used at the Executive Council's discretion to support and/or improve the Cornell Army ROTC Battalion.
Section 1. Local Chapters can be established in any geographical area for any number of Cornell Army ROTC Alumni members. For any group of Cornell Army ROTC Alumni to start a chapter they must elect a Chapter Representative who will serve until they depart from that area or for up to 5 years, whichever occurs first. The Chapter must then forward the name and date of election of their Chapter Representative to the Alumni Association Representative to the University. All members of the Chapter must be members of the Cornell Army ROTC Alumni Association and the Chapter will maintain its own list of membership with their contact information.
Section 2. Any Cornell Army ROTC Alumni Association Member who is interested in starting a Local Chapter can obtain a mailing list for all current members in their local area.
This Constitution may be amended by a two-thirds majority vote of members present at any meeting called for that purpose, provided that a quorum is present, or by a two-thirds majority of persons voting in a mail ballot. Unless a meeting is called for by twenty-five members of the Association, the method of submitting proposed amendments to the Constitution shall be determined by the Alumni Executive Council.
